MONIST PLATFORM MEMBERSHIP AGREEMENT

MONIST and the MEMBER are each referred to as a “Party” and collectively as the “Parties.”


DEFINITIONS

For the purposes of this Agreement, the following terms shall have the meanings ascribed below:

PLATFORM: The digital platform (monist.co) operated by MONIST, enabling members to benefit from parcel delivery services.

CREDIT: The prepaid balance loaded by the Member and used for parcel delivery services.

ESTIMATED CREDIT: The provisional amount deducted from the Member’s balance during shipment based on estimated cost.

ACTUAL AMOUNT: The actual cost calculated upon completion of the shipment.

CARRIER / SHIPPING COMPANY: Third-party companies providing parcel delivery services via the platform.

PACKAGE: The physical goods/items sent by the Member through the platform.

BALANCE: The current available credit in the Member’s account.

PLATFORM SERVICES

3.1 Main Services

MONIST provides the following services through the platform:

  • Assignment of suitable carriers for parcel delivery requests
  • Credit loading and balance management system
  • Shipment tracking and status monitoring
  • Price comparison and optimization service
  • Online invoicing and reporting
  • Online customer support

3.2 Platform Usage

  • The platform is available only to registered corporate members.
  • Each member is provided with a personalized account and dashboard.
  • API integration capability is available.
  • Services are accessible via a web-based platform.

CREDIT SYSTEM AND PAYMENT TERMS

4.1 Credit Loading

  • The MEMBER must load credit to their account to use the platform.
  • Minimum credit load: 500 TRY
  • Maximum credit load: 50,000 TRY
  • Payment methods: Credit/Debit Card, Bank Transfer/EFT, Cash on Delivery (for corporate members)

4.2 Credit Usage

  • Estimated credit is deducted at the time of shipment creation.
  • The actual amount is calculated once delivery is completed.
  • If Estimated Credit > Actual Amount, the difference is refunded to the balance.
  • If Actual Amount > Estimated Credit, the difference is additionally deducted.
  • Shipments cannot be created with insufficient balance.

4.3 Pricing

  • Platform service fee: 7 TRY + VAT per shipment
  • Shipping fees are based on the selected carrier’s tariff.
  • Prices may vary based on market conditions; the latest rates are displayed on the platform.

4.4 Invoicing and Reporting

  • Monthly usage summaries are available on the platform.
  • Invoices are issued for corporate members.
  • Detailed usage and cost reports are provided.

MEMBER RIGHTS AND OBLIGATIONS

5.1 Member Rights

  • Uninterrupted access to platform services
  • Transparent and competitive pricing
  • Access to customer support
  • Protection of personal data

5.2 Member Obligations

5.2.1 Registration and Information Accuracy

  • Register with accurate and up-to-date company information
  • Promptly update any changes on the platform
  • Avoid providing false or misleading information

5.2.2 Account Security

  • Keep username and password confidential
  • Do not share account credentials with third parties
  • Immediately notify MONIST of any security breaches

5.2.3 Responsibility for Package Contents

The MEMBER guarantees that all packages:

  • Comply with legal regulations
  • Do not contain dangerous or prohibited items
  • Are correctly declared
  • Are properly packaged

Prohibited items: Explosives, flammable or toxic substances, weapons, narcotics, live animals, perishable foods, etc.

5.2.4 Financial Obligations

  • Maintain sufficient balance in the account
  • Pay all platform fees on time
  • Compensate any damages arising from fraudulent or erroneous transactions

PLATFORM RESPONSIBILITIES AND LIMITATIONS

6.1 MONIST’s Responsibilities

  • Provide continuous and reliable platform services
  • Securely store Member information
  • Assign appropriate carriers
  • Ensure transparent pricing

6.2 Limitation of Liability

MONIST shall NOT be liable for:

  • Errors or omissions by carriers/shipping companies
  • Verification or inspection of package contents
  • Delays caused by weather conditions or force majeure
  • Issues arising from incorrect information provided by the Member

MONIST’s total liability is limited to the transaction amount related to the specific case.

6.3 Damage and Loss

  • In case of package damage/loss, the resolution is handled under the carrier’s terms.
  • Compensation is subject to the selected carrier’s insurance policy.
  • MONIST’s role is limited to facilitating communication between the Member and the carrier; MONIST has no direct compensation responsibility.

PLATFORM USAGE RULES

7.1 Prohibited Activities

  • Registering with fake identities/documents
  • Any action compromising platform security
  • Harassing or disturbing other members
  • Non-commercial use of the platform
  • Sending spam or unsolicited advertisements

7.2 Account Suspension/Termination

MONIST may suspend or terminate a Member’s account in the following cases:

  • Violation of agreement terms
  • Illegal or fraudulent activities
  • Actions harming other members
  • Inactivity for 90 consecutive days

In case of account termination, the remaining balance will be refunded within 30 days.


DATA SECURITY AND PRIVACY

8.1 Personal Data Protection

  • Compliance: Fully compliant with Turkish Law No. 6698 on the Protection of Personal Data (KVKK)
  • Data Processing Purpose: Data is processed solely for the provision of services
  • Data Sharing: Limited to third parties when necessary for service delivery
  • Data Retention: Data is stored for legally required periods only

8.2 Member Rights

  • Request information about data processing activities
  • Request correction of inaccurate data
  • Request deletion of personal data
  • Object to data processing under applicable laws

TECHNICAL SUPPORT AND CUSTOMER SERVICE

9.1 Support Channels

9.2 Response Times

  • Urgent matters: Within 30 minutes during business hours
  • General inquiries: Within 2 hours during business hours
  • Technical issues: Within 4 hours during business hours
  • Outside business hours: Responded to on the next working day

TERM AND TERMINATION

10.1 Term

This Agreement is made for an indefinite term.

Either Party may terminate the Agreement with 30 days’ prior written notice.

10.2 Immediate Termination

Immediate termination rights apply in cases of:

  • Material breach of contract
  • Fraudulent or deceptive conduct
  • Activities threatening platform security
  • Negative account balance maintained for 30 consecutive days

10.3 Termination Consequences

  • Remaining balance will be refunded within 30 days
  • Ongoing shipments will be completed
  • The Member’s account will be permanently closed

DISPUTE RESOLUTION

11.1 Resolution Method

Disputes shall first be resolved through negotiation.

If unresolved, the Parties shall seek mediation.

If still unresolved, legal action may be taken.

11.2 Jurisdiction

Istanbul (Anatolian) Courts and Enforcement Offices shall have exclusive jurisdiction.


GENERAL PROVISIONS

12.1 Amendments

MONIST may modify this Agreement.

Changes will be notified at least 15 days in advance.

Members who do not accept the changes may terminate the Agreement.

12.2 Force Majeure

Events such as natural disasters, war, terrorism, pandemics, or strikes are considered force majeure, during which obligations are suspended.

12.3 Notifications

Notifications made via the platform shall be deemed valid.

Notices sent via e-mail or SMS have legal validity.

EFFECTIVENESS AND ACCEPTANCE

This Agreement enters into force when the MEMBER completes the platform registration process.
